1. Purpose of Contributions

The Ciphex Contribution Program (“Contributions” or the “Contribution Program”) is administered following the terms and conditions described in this section. Eligible participants may contribute toward the initial market entry and commercial monetization of the Ecosystem. The Contribution Program is intended to support the initial commercial release of Atlas and Alpha, together with Ecosystem initiatives including, without limitation, blockchain infrastructure and protocols, technical security enhancements, token utility development, liquidity initiatives, commercial partnerships, community engagement and targeted go-to-market activities focused on commercial engagement, product adoption, Ecosystem participation, and revenue generation (collectively, the “Ciphex Expansion”).

2. Contribution Stages

The Contribution Program is separated into three stages (“Contribution Stages”) and begins on a date determined by Ciphex, marking the opening of the Contribution Program and its first stage. Each Contribution Stage remains open for up to 30 calendar days (“Active Days”) from its commencement date unless fully allocated before the end of its Active Days. When the Active Days of a Contribution Stage end, no further Contributions may be made, and the next Contribution Stage immediately begins with its applicable minimum Contribution. The Active Days are governed by a smart contract created specifically to administer the terms, conditions, and functions of the Contribution Program (“Smart Contract”). Ciphex has the authority, at its sole discretion, to end any Contribution Stage before the end of its Active Days. Ciphex cannot modify the Smart Contract to pause or extend the Active Days of any Contribution Stage or reopen a Contribution Stage once its Active Days have ended, or if ended earlier by Ciphex.

The exchange value of each Ciphex token remains fixed at $0.20 (USD) throughout the Contribution Program. The maximum Contribution permitted during any Contribution Stage is 100,000 Ciphex tokens or the equivalent exchange value of $20,000 (USD), subject to applicable exchange rates (“Maximum Contribution”). The final exchange value of any Contribution may vary depending on the selected method of exchange. Ciphex has no control over the exchange rates applied by available methods of exchange when a Contribution is made. The Contribution Program ends upon completion of the Active Days of the Final Stage, unless ended earlier by Ciphex. The Contribution Program and any Contribution Stage are not subject to a minimum Contribution threshold, and Contributions become immediately available for allocation toward the Ciphex Expansion.

3. CPX Token Allocations

The Ciphex tokenomics follows a deflationary supply model. This model permanently disables Ciphex from producing additional tokens (“CPX Tokens”) to increase its available token supply. All Ciphex tokens allocated to the Contribution Program are sourced exclusively from existing CPX Treasury Reserves (“CPX Reserves”). A total of 70,000,000 CPX Tokens have been allocated from CPX Reserves to an assigned Smart Contract created specifically for the Contribution Program (“Contribution Reserves”).

The Contribution Reserves represent approximately 19.42% of existing CPX Reserves. If fully allocated during the Contribution Program, the Contribution Reserves will represent approximately 6.87% of the current fully diluted CPX Token supply. Based on the fixed exchange value of $0.20 (USD) per CPX Token, an implied fully diluted ecosystem valuation is approximately $203.71M (USD). If the Contribution Reserves are not fully allocated by the end of the Final Stage (“Final Completion”), any remaining CPX Tokens in the Contribution Reserves are returned to CPX Reserves. 4. Allocation of Contributions

The Contribution Program supports the operational, human resource, technology, and capital requirements of the Ciphex Expansion. If Contribution Reserves are not fully allocated by the end of the Final Completion, final Contributions received will be prioritized toward continuing initiatives of the Ciphex Expansion. Costs and expenses associated with the Contribution Program may include digital asset launchpad services, ecosystem community engagement initiatives, payment processing fees, professional services, administrative expenses, and other related costs where such services are used, or expenses are incurred.

5. Lockup and Vesting

CPX Tokens allocated to the Contribution Program are subject to a 6 (six) month restriction period consisting of a 3 (three) month (90-day) lockup period (“Lockup”) followed by a 3 (three) month (90-day) vesting period (“Vesting”). The Lockup begins on the date a Contribution is made. During the Lockup, CPX Tokens cannot be claimed, transferred, sold, pledged, assigned, or otherwise disposed of. Once the Lockup period ends, Vesting immediately begins in 3 (three) equal monthly installments, available for claim at the end of each month until all available CPX Tokens are fully vested. Lockup periods and Vesting schedules are governed by the Smart Contract of this Contributions Program and cannot be accelerated, shortened, waived, or otherwise modified. Contributors may view their CPX Token balance, Lockup period, Vesting schedule, and available claim balance through the Token Claim Center of this website. Contributors are responsible for monitoring and claiming their CPX Tokens.

6. Eligibility and Participation

The Contribution Program may not be available in all jurisdictions and may be restricted or prohibited under applicable laws, regulations, sanctions, or other regulatory requirements. The availability of this Contribution section or any related materials does not constitute an offer to sell, a solicitation of an offer to buy, a recommendation, endorsement, or invitation to participate where such activities are restricted or prohibited by law.

The Contribution Program is not available in, and to persons or entities of:

  • 1. The United States;
  • 2. Canada and the United Kingdom; and
  • 3. Prohibited or Sanctioned Jurisdictions

Participation may be available in jurisdictions where applicable laws and regulations permit Contributions through an exemption or other lawful basis. Nothing in this Contribution section, the Ciphex website, or Site Content should be interpreted as confirming that any person or entity is eligible to participate in the Contribution Program. Each prospective participant is solely responsible for determining whether they satisfy all applicable legal and regulatory requirements, including any conditions required to rely on an available exemption, and for ensuring that their participation complies with the laws and regulations that apply to them. 7. Participation and Claiming

Eligible participants may contribute only through the contribution panel (“Contribute Panel”) at the top of this section. Participants may contribute multiple times during any Contribution stage, with each Contribution ranging from the applicable minimum up to the Maximum Contribution limit. If, during the Early Stage or Growth Stage, a Contribution exceeds the remaining CPX Tokens allocated to that stage, then: (a) the remaining CPX Tokens are allocated from that stage; and (b) the balance is allocated from the next available Contribution Stage. If the same circumstances occur during the Final Stage, only the remaining CPX Tokens allocated to the Final Stage will be exchanged, and any remaining portion of the desired Contribution will not be completed. CPX Tokens may be obtained only through the available exchange options provided in the Contribute Panel. Contributors may view their CPX Token balance, Lockup period, Vesting schedule, and available claim balance through the Token Claim Center of this website. Contributors are responsible for monitoring and claiming their CPX Tokens.

8. Geo-Restriction and Access Controls

Ciphex uses third-party geo-restriction, geolocation, and other access control technologies on its website, including this Contribution section, to restrict participation from jurisdictions where the Contribution Program is restricted or prohibited by applicable law or is otherwise unavailable at Ciphex’s sole discretion. These measures may not be effective in all circumstances and should not be relied upon to determine eligibility. As a result, the Contribute Panel may remain accessible or functional in jurisdictions where the Contribution Program is unavailable or where Contributions are restricted or prohibited by applicable law. The failure or circumvention of any geo-restriction or other access control does not authorize or permit participation in the Contribution Program. Prospective participants are solely responsible for determining whether their participation complies with applicable laws, regulations, sanctions, and other legal requirements. Ciphex makes no representation or warranty regarding the legality, eligibility, or availability of the Contribution Program in any jurisdiction.

9. Marketing and Engagement

Ciphex may engage third-party service providers to perform token launchpad services, marketing and communications campaigns, public relations activities, advertising, social engagement initiatives, and similar services to expand market awareness of the Ecosystem and increase participation in products, services, utility initiatives, community engagement, and other Ecosystem activities (collectively, “Awareness Providers”). In addition, Ciphex may use its community rewards program (“Community Rewards”) to promote growth and participation in designated Ecosystem activities, which may include the Contribution Program. If implemented, Awareness Providers and prospective participants in Community Rewards may receive compensation in cash, CPX Tokens, ecosystem-related discounts, points program incentives, access to future products and premium services, or any combination thereof, subject to the terms, conditions, and obligations applicable to participation.
