Market Opportunity Introduction

Global capital markets are undergoing a sustained structural transformation driven by enterprise tokenization, artificial intelligence, digital financial infrastructure, and technology-enabled investment services. This evolution is supported by unprecedented investment in digital infrastructure. Gartner estimates global information technology spending will reach approximately US$5.6 trillion during 2025, while IDC projects global digital transformation spending will exceed US$4 trillion by 2027. As these markets continue to evolve, commercial opportunity is increasingly shifting beyond technological innovation toward business models that improve capital formation, investment management, market accessibility, and commercial connectivity across traditional and digital capital markets.

‘Boston Consulting Group estimates that the global tokenized asset market could expand to nearly US$19 trillion by 2033

Industry research reinforces the scale of this transformation. Boston Consulting Group estimates the global tokenized asset market could expand from approximately US$600 billion in 2025 to nearly US$19 trillion by 2033, representing a compound annual growth rate (CAGR) of approximately 54%. At the same time, PwC projects global assets under management will increase from approximately US$139 trillion in 2024 to approximately US$200 trillion by 2030, reflecting the continued expansion of institutional and private capital markets. As digital capital markets mature, enterprise financing, investment management, digital capital formation, and supporting market infrastructure are becoming increasingly interconnected. Commercial success will depend not only on technological innovation but on the ability to transform emerging technologies into practical products, scalable commercial services, and sustainable revenue-generating activities.

The Ciphex Capital Ecosystem (or “Ciphex”) was developed to commercialize within this evolving market environment. Ciphex is a unified ecosystem focused on enterprise tokenization and autonomous market systems that reduce complexity and improve efficiency across capital formation, commercialization, and market participation as intelligent digital capital markets experience high growth. The ecosystem consists of two primary products and services. Atlas RWA Services (or “Atlas”) is an enterprise tokenization platform focused on efficient capital formation, information transparency, and project lifecycle management, reducing traditional inefficiencies while improving market accessibility and participation. Ciphex Alpha (or “Alpha”) is an autonomous market system designed to improve participation within digital capital markets through consistent market execution, intelligent risk oversight, and disciplined portfolio management.

The 2026 Ciphex Strategic Commercial Overview, which supports this Market Opportunity Introduction, examines market characteristics, industry research, and commercial opportunities that are influencing the continued evolution of intelligent digital capital markets. It further explains how Ciphex has been structured to commercialize efficiently within these markets as they continue to evolve.

1. Purpose of Contributions

The Ciphex Contribution Program (“Contributions”) provides eligible participants with an opportunity to contribute toward the initial expansion and continued commercial development of Ciphex. Contributions are administered in accordance with the terms described in this Contribution section. Contributions are intended to support the initial commercial release of Atlas RWA Services and Ciphex Alpha, together with ecosystem initiatives including blockchain infrastructure and security enhancements, utility development, liquidity initiatives, strategic partnerships, and targeted go-to-market activities that accelerate commercial engagement, product adoption, ecosystem participation, and initial revenue generation across Ciphex (collectively, the “Ciphex Expansion”).

2. Contribution Stages

Contributions begin on a date determined by Ciphex, marking the opening of the Early Stage. Each Contribution stage remains open for up to 30 calendar days (“Active Days”) unless fully allocated before the end of its Active Days. When the Active Days of a Contribution stage end, no further Contributions may be made for that stage, and the next Contribution stage begins with its applicable minimum Contribution. The Active Days are administered by a smart contract associated with each Contribution stage and cannot be modified. Ciphex has the authority, at its sole discretion, to end any Contribution stage before the end of its Active Days. However, Ciphex cannot pause, modify, or extend the Active Days of any Contribution stage.

The exchange value of each CPX Token remains fixed at $0.20 (USD) throughout the Contribution Program. The maximum Contribution permitted during any Contribution stage is 100,000 CPX Tokens or the equivalent of $20,000 (USD), subject to applicable exchange and conversion rates. The final exchange value of any Contribution may vary depending on the selected method of exchange. Ciphex has no control over the exchange and conversion rates applied by available methods of exchange when a Contribution is made. The Contribution Program ends upon completion of the Active Days of the Final Stage or if closed earlier by Ciphex, at its sole discretion. No Contribution stage is subject to a minimum Contribution threshold, and Contributions become immediately available for allocation toward the Ciphex Expansion.

3. CPX Token Allocations

The CPX Token follows a deflationary tokenomics model under which the total token supply cannot be increased. No additional CPX Tokens will be created for the Contribution Program. All CPX Tokens allocated to the Contribution Program are sourced exclusively from existing CPX Treasury Reserves. A total of 70,000,000 CPX Tokens has been allocated to a separate Ciphex wallet specifically for the Contribution Program (“Contribution Reserves”), administered by its smart contract during each Contribution stage. The Contribution Reserves represent approximately 19.42% of existing CPX Treasury Reserves and may be independently verified through this Contribution section. If fully allocated following the terms of this Contribution Program, the Contribution Reserves will represent approximately 6.87% of the current fully diluted CPX Token supply. Based on the fixed exchange value of $0.20 (USD) per CPX Token, this represents an implied fully diluted ecosystem valuation of approximately $203.71M (USD).

If the Contribution Reserves are not fully allocated by the end of the Final Stage (“Final Completion”), any remaining CPX Tokens will be returned to the CPX Treasury Reserves. The operational and treasury management policies of Ciphex govern CPX Treasury Reserves allocation and administration. Additional information about these policies is available in the 2026 Ciphex Tokenomics Overview available in the publication section of this website.

4. Allocation of Contributions

Contributions are intended to support the operational, human resource, technology, and capital requirements of the Ciphex Expansion. If the allocation of CPX Tokens in the Contribution Reserves is not fully allocated by the end of the Final Completion, Contributions received will be prioritized toward initiatives that continue to accelerate the Ciphex Expansion. Costs and expenses associated with the Contribution Program may include digital asset launchpad services, community awareness and engagement, payment processing fees, professional services, administrative expenses, and other related costs where such services are used, or expenses are incurred. The operational and treasury management policies of Ciphex govern the implementation and administration of Contributions. Additional information about these policies is available in the 2026 Ciphex Tokenomics Overview available in the publication section of this website.

5. Lockup and Vesting

CPX Tokens allocated to the Contribution Program are subject to a 6 (six) month restriction period consisting of a 3 (three) month (90-day) lockup period (“Lockup”) followed by a 3 (three) month (90-day) vesting period (“Vesting”). The Lockup begins on the date a Contribution is made. During the Lockup, CPX Tokens cannot be claimed, transferred, sold, pledged, assigned, or otherwise disposed of. After the Lockup ends, Vesting begins in 3 (three) equal monthly installments. At the end of each month, the applicable CPX Tokens become available for claim. Lockup periods and Vesting schedules cannot be accelerated, shortened, waived, or otherwise changed for contributors. Contributors can view their CPX Tokens, Lockup period, Vesting schedule, and available CPX Tokens for claim through the Token Claim Center of the Ciphex website. Contributors are responsible for monitoring and claiming their CPX Tokens.

6. Eligibility and Participation

Contributions may not be available in all jurisdictions and may be restricted or prohibited under applicable laws, regulations, sanctions, or other regulatory requirements. The availability of this Contribution section or any related materials does not constitute an offer to sell, a solicitation of an offer to buy, a recommendation, endorsement, or invitation to participate where such activities are restricted or prohibited by law.

This Contribution Program is not available in, and to persons or entities of:

  • 1. The United States;
  • 2. Canada and the United Kingdom; and
  • 3. Prohibited or Sanctioned Jurisdictions

Participation may be available in jurisdictions where applicable laws and regulations permit Contributions through an exemption or other lawful basis. Nothing in this Contribution section, the Ciphex website, or related materials should be interpreted as confirming that any person or entity is eligible to participate in this Contribution Program. Each prospective participant is solely responsible for determining whether they satisfy all applicable legal and regulatory requirements, including any conditions required to rely on an available exemption, and for ensuring that their participation complies with the laws and regulations that apply to them. Additional information regarding eligibility and participation is available in the Disclosures section of the Ciphex website.

7. Participation and Claiming

Eligible participants may contribute only through the contribution panel (“Contribute Panel”) in this Contribution section. Participants may contribute multiple times during any Contribution stage, with each Contribution ranging from the applicable minimum up to the maximum Contribution limit. If, during the Early Stage or Growth Stage, a Contribution exceeds the remaining CPX Tokens allocated to that stage: (a) the remaining CPX Tokens for that stage are allocated to the Contribution; and (b) the balance of the Contribution is allocated from the next available stage. If the same circumstances occur during the Final Stage, only the remaining CPX Tokens allocated to the Final Stage will be exchanged, and any remaining portion of the Contribution will not be completed.

The final exchange value of any Contribution may vary depending on the selected method of exchange. Ciphex has no control over the exchange and conversion rates applied by available methods of exchange. CPX Tokens may be obtained only through the available exchange options provided in the Contribute Panel. Contributors may view their CPX Tokens, Lockup period, Vesting schedule, and available CPX Tokens through the Token Claim Center of this website. Contributors are responsible for monitoring and claiming their CPX Tokens.

8. Geo-Restriction and Access Controls

Ciphex uses third-party geo-restriction, geolocation, and other access controls on its website, including this Contribution section, to restrict participation from jurisdictions and geographic locations where the Contribution Program is restricted or prohibited by law, or are not made available by Ciphex. These measures may not be effective in all circumstances and should not be relied upon to determine eligibility. As a result, the Contribute Panel in this Contribution section may remain accessible or functional in jurisdictions where Contributions are not available or are restricted or prohibited by law. The failure or circumvention of any geo-restriction or other access control does not authorize or permit participation in the Contribution Program. Prospective participants are responsible for determining whether their participation complies with applicable laws, regulations, sanctions, and other legal requirements. Ciphex makes no representation or warranty regarding the legality, eligibility, or availability of the Contribution Program in any jurisdiction.

9. Marketing and Engagement

Ciphex may engage third-party service providers to perform token launchpad services, marketing and communications campaigns, public relations activities, advertising, social engagement initiatives, and similar services to expand market awareness of the Ciphex ecosystem and increase participation in Ciphex products, services, utility initiatives, community engagement, and other ecosystem activities (collectively, “Awareness Providers”). In addition, Ciphex may use its community rewards program (“Community Rewards”) to promote growth and participation in designated ecosystem activities, which may include this Contribution Program.

Awareness Providers and participants in Community Rewards may receive compensation in cash, CPX Tokens, ecosystem-related discounts, points program incentives, access to future products and premium services, or any combination thereof, subject to the terms, conditions, and obligations applicable to participation. If Awareness Providers are engaged or Community Rewards are made available specifically for the Contribution Program, the applicable compensation terms, conditions, and restrictions will be published in the Publications section of the Ciphex website.

Prospective participants should conduct their own independent due diligence and consult their own professional advisers regarding the legal, regulatory, financial, tax, and other consequences of participation in the Contribution Program.

12. Forward-Looking Statements

Certain information published on this website, including descriptions of current or future products, services, ecosystem activities, system capabilities, commercial strategies, financial models, operational initiatives, market opportunities, or anticipated outcomes, may constitute forward-looking statements within the meaning of the U.S. Private Securities Litigation Reform Act of 1995 and applicable securities laws of other jurisdictions. Ciphex Materials are developed following regulatory disclosure objectives and are intended to provide balanced, factual, and non-promotional information regarding Ciphex, its products, services, governance, operating policies and procedures, and ecosystem activities, while protecting confidential information, trade secrets, intellectual property, and other commercially sensitive information.

15. Reliance on Website Information or Publications

Information published on the Ciphex website, including publications, product and service information, ecosystem and utility initiatives, community engagement, marketing programs, operational results, development milestones, commercialization activities, and ecosystem growth, is provided solely for informational purposes. Such information should not be interpreted as an expectation or guarantee of future performance, results, commercial availability, or other future outcomes.

Ciphex assumes no responsibility or liability for any reliance placed upon third-party communications, representations, or other information.

17. Contribution Acceptance and Responsibilities

Participation in the Contribution Program is undertaken solely at the contributor’s own risk and responsibility. Once a prospective participant has acknowledged and accepted the applicable contribution terms, risks, and responsibilities presented through the Contribute Panel, and the Contribution has been completed, the prospective participant becomes a contributor and is deemed to have knowingly and voluntarily accepted the applicable terms, risks, and responsibilities governing participation in the Contribution Program. A prospective participant’s decision not to review, or to review only part of, the information, disclosures, publications, or other materials made available by Ciphex before contributing does not limit, invalidate, or otherwise affect the contributor’s acknowledgements and acceptance of the applicable contribution terms, risks, and responsibilities.

Except where required by applicable law, all completed Contributions are final, irrevocable, and non-refundable and may not be cancelled, rescinded, reversed, challenged, or withdrawn on the basis that the contributor did not review or fully understand the information made available before completing the Contribution. Completion of a contribution confirms the contributor’s intention to be legally bound by the applicable contribution terms, risks, and responsibilities governing the Contribution Program.
