III. CPX Tokens, Utility & Transferability

3.1 Decentralized Exchanges

CPX Tokens may be transferred and traded through decentralized exchange (DEX) protocols that utilize automated market maker (AMM) liquidity pools administered by publicly available smart contracts. These protocols may incorporate standard smart contract features supporting liquidity management, transaction execution, protection against abusive or malicious trading activity, and the orderly operation of the underlying liquidity pools. Ciphex may maintain reserves of CPX Tokens and stable-value digital assets and may periodically contribute such assets to supported liquidity pools to facilitate transactional functionality, liquidity availability, and efficient protocol operation. Any such contributions are intended solely to support the operational functionality of decentralized trading infrastructure and should not be interpreted as market-making, price stabilization, price support, trading activity, market manipulation, volume generation, or any representation regarding liquidity, market value, token performance, or future market activity.

3.2 Centralized Exchanges

Following initial availability through decentralized exchange protocols, CPX Tokens may, subject to applicable legal, regulatory, technical, commercial, and exchange-specific requirements, become eligible for trading on one or more centralized exchanges (CEX). Any decision to list, suspend, delist, or otherwise make CPX Tokens available for trading is determined solely by the applicable exchange in accordance with its independent listing standards, commercial considerations, and operational procedures. If listed on one or more centralized exchanges, CPX Tokens may continue to trade simultaneously on decentralized exchanges and other compatible trading venues where supported. Accordingly, trading activity, liquidity, and price discovery may occur independently across multiple markets and trading venues.

Any promotional campaigns, staking services, reward programs, trading competitions, airdrops, earn products, savings products, referral campaigns, market development initiatives, liquidity incentive programs, or similar offerings made available by a centralized exchange in connection with listing or providing initial listing promotions for CPX Tokens are administered independently by the applicable exchange and remain subject to the terms, eligibility requirements, compliance procedures, and regulatory obligations of such exchange. Ciphex does not control, administer, sponsor, guarantee, or assume responsibility for the availability, continuation, performance, or outcomes of any exchange-sponsored program.

3.3 Ecosystem Liquidity Initiatives

Liquidity-related activities, including liquidity staking, liquidity aggregation, automated pool balancing, liquidity management services, related token utility incentives, and similar programs, operate independently from the protocol-level function of decentralized exchanges (DEX), centralized exchanges (CEX), automated market makers (AMM), and other trading venues, and do not constitute discretionary management of secondary market trading activity. Where available, Ciphex may utilize independent third-party infrastructure providers, smart contract services, vault systems, liquidity-balancing services, liquidity-staking protocols, or similar service providers to support the operational administration, technical maintenance, liquidity functionality, and ecosystem utility of CPX Tokens.

Liquidity-balancing services generally allocate and rebalance assets according to transparent, predefined smart contract or programmatic rules designed to maintain target asset weightings, improve capital utilization, and reduce manual administration. Liquidity-staking services may permit eligible participants to deposit CPX Tokens or liquidity positions into protocol-based programs that provide utility-based incentives, ecosystem rewards, or other program benefits, subject to the applicable program terms and conditions. Any such services operate according to transparent, predetermined rules and are not intended to influence market prices, trading activity, trading volume, liquidity levels, or price discovery.

3.4 Exchange Independence

Ciphex does not own, operate, control, host, administer, influence or govern any decentralized exchange, centralized exchange, automated market maker, trading venue, or exchange-operated reward program, and does not exercise discretionary authority over trade execution, trade matching, order routing, market pricing, liquidity provisioning decisions, or exchange operations. Participation by liquidity providers, tokenholders, users, and other ecosystem participants is voluntary. The availability of liquidity, staking services, utility programs, rewards, or other ecosystem benefits may vary over time based upon the independent decisions of exchanges, protocol operators, third-party service providers, market participants, applicable protocol mechanisms, and prevailing market conditions. Ciphex makes no representation or warranty that CPX Tokens will be listed, remain listed, achieve any particular level of trading activity, price or liquidity, or be continuously available for trading on any exchange or trading venue.

3.5 Ecosystem Utility Incentives

Ciphex may support ecosystem liquidity initiatives, liquidity staking services, token utility incentives, points programs, referral programs, ecosystem participation rewards, and similar utility-based initiatives through independent third-party service providers, decentralized protocols, or proprietary ecosystem services. Any such programs are intended to promote ecosystem awareness, accessibility, participation, and utility, and should not be interpreted as investment programs, market support mechanisms, or guarantees of financial performance or economic outcomes.

3.6 No Representation on Performance

The existence of any liquidity program, staking service, exchange promotion, exchange listing, liquidity pool, rewards program, airdrop, referral program, earn program, or similar activity should not be interpreted as a representation, warranty, or assurance regarding the value, liquidity, availability, trading volume, price stability, market performance, or future trading activity of CPX Tokens.

3.7 Regulated Trading or Crypto-Asset Services

For the purposes of Regulation (EU) 2023/1114 on Markets in Crypto-Assets ("MiCA"), Ciphex or its products and services, Ciphex Alpha Autonomous Market Systems and Atlas RWA Services Enterprise Tokenization system (collectively "Ciphex Services") does not provide crypto-asset services within the meaning of Articles 3 and 75–80, including the operation of a trading platform for crypto-assets, execution of orders, reception or transmission of orders, placement of crypto-assets, provision of liquidity, custody or administration of crypto-assets on behalf of third parties. Except to the extent required by applicable law, Ciphex Services does not hold itself out as operating a securities exchange, alternative trading system, broker-dealer, investment adviser, marketplace, crypto-asset trading platform, or any other regulated trading venue, intermediary, or financial services business requiring registration, licensing, authorization, or regulatory approval.

3.8 Independent Secondary Market Activity

Any secondary market activity involving CPX Tokens or tokens developed through Atlas for enterprise tokenization projects, including trading, liquidity provisioning, liquidity staking, liquidity aggregation, automated pool balancing, exchange listings, rewards programs, staking programs, trading competitions, airdrops, earn programs, referral programs, or similar activities, occurs independently of Ciphex and outside its control. Such activities do not constitute exchange operations, admission to trading, facilitation of trading, brokerage activity, market-making, liquidity-provision services, custody services, or any other regulated trading or crypto-asset service. Where available, Ciphex may utilize independent third-party infrastructure providers, smart contract services, liquidity management services, vault systems, staking protocols, or similar service providers to support ecosystem functions associated with CPX Tokens or tokens developed through Atlas for enterprise tokenization projects. Any such services operate in accordance with predetermined contractual, programmatic, or smart contract rules and are not intended to influence market prices, trading activity, trading volume, liquidity levels, or price discovery.

IV. No Regulatory Review, Approval or Endorsement

4.1 No Regulatory Review

No governmental authority, regulatory agency, securities commission, financial regulator, market supervisor, or other public authority has assessed, reviewed, endorsed, approved, recommended, or otherwise expressed any opinion regarding the merits, accuracy, completeness, suitability, value, risks, or future performance of Ciphex, CPX Tokens, or any related materials, including any whitepapers, websites, disclosures, reports, presentations, marketing materials, educational materials, newsletters, communications, tokenomics information, or other content published or made available by or relating to Ciphex.

4.2 No Regulatory Registration

CPX Tokens have not been registered with, reviewed by, or approved by the U.S. Securities and Exchange Commission, any competent authority under Regulation (EU) 2023/1114 on Markets in Crypto-Assets ("MiCA"), or any other securities, financial, commodities, banking, prudential, consumer protection, or market regulatory authority, except to the extent expressly required by applicable law. No such authority has approved, endorsed, or otherwise passed upon the merits of CPX Tokens or confirmed the accuracy, adequacy, or completeness of any information relating to Ciphex or CPX Tokens.

4.3 Regulatory Classification and Authorization Risk

Neither Ciphex nor any governmental, regulatory, supervisory, securities, commodities, financial services, banking, or market authority has determined that CPX Tokens do not constitute securities, derivatives, investment contracts, financial instruments, regulated crypto-assets, or other regulated products under applicable law. The legal characterization of CPX Tokens remains subject to evolving legislation, regulatory interpretation, judicial decisions, and enforcement actions. No representation or assurance is given that CPX Tokens qualify, or will continue to qualify, for any particular legal classification, exemption, authorization, or regulatory treatment under MiCA or the laws of any jurisdiction.

4.4 Absence of Regulatory Protections

CPX Tokens may not benefit from the legal protections, safeguards, rights, remedies, or regulatory oversight applicable to securities, financial instruments, banking products, investment products, or other regulated financial products. Accordingly, holders should not expect statutory disclosures, prospectus-level protections, registration safeguards, suitability or appropriateness assessments, fiduciary duties, investor compensation schemes, dispute resolution mechanisms, continuous disclosure obligations, periodic financial reporting, audit requirements, governance rights, or other protections that may apply to regulated issuers, listed securities, or regulated financial products under applicable law. The acquisition, holding, use, or transfer of CPX Tokens involves substantial risk, and participants should not expect protections comparable to those available within traditional regulated capital markets.

4.5 Regulatory Compliance and Jurisdictional Restrictions

CPX Tokens may be subject to transfer restrictions, resale limitations, jurisdictional access controls, eligibility requirements, sanction restrictions, anti-money laundering obligations, counter-terrorist financing requirements, transaction monitoring obligations, tax reporting requirements, and other legal or regulatory requirements imposed under applicable law. The legal and regulatory treatment of digital assets continues to evolve in many jurisdictions. Future legislation, regulations, regulatory guidance, judicial decisions, or enforcement actions may materially affect the legality, availability, transferability, functionality, taxation, marketability, or value of CPX Tokens.

Each participant is solely responsible for determining whether the acquisition, holding, use, transfer, or disposition of CPX Tokens complies with the laws applicable to that participant. Ciphex does not provide legal, regulatory, tax, accounting, or investment advice and makes no representation that CPX Tokens may be lawfully acquired, held, used, transferred, or disposed of in any particular jurisdiction.
