I. General Disclosure

1.0 General Information

Cipherion Capital SA, or Cipherion Market Research Group (or "Cipherion"), is a legal entity registered under the laws of the Republic of Panama, and parent to the Ciphex Capital Ecosystem (or "Ciphex"), or collectively referred to as "The Ciphex Project", where applicable. Ciphex is a unified Ecosystem focused on enterprise tokenization and autonomous market systems, improving efficiency across capital formation, commercialization, and market participation as global financial markets evolve into intelligent digital capital markets (or collectively "Ecosystem"). The Ecosystem comprises two primary products and services: Atlas RWA Services (or "Atlas"), an enterprise tokenization system focused on efficient capital formation, information transparency, and project lifecycle management, improving commercial efficiency while expanding market accessibility. Ciphex Alpha (or "Alpha"), an autonomous market system focused on intelligent digital capital markets, reducing user complexity while increasing confidence in market participation through consistent market execution, intelligent risk oversight, and disciplined portfolio management.

Ciphex products, services, utilities, and other developments intended for commercial use are currently in various stages of development or precommercial optimization and are not available to the public. All capital deployed by the Ciphex Alpha (or "Alpha") autonomous market system during this phase is proprietary and used exclusively for testing and evaluation. No third-party capital participates during any precommercial testing, evaluation, or optimization phase. Atlas RWA Services (or "Atlas") is available for demonstration upon request and is not currently available to the public (collectively, the "Ciphex Services"). Testing, evaluation, and optimization in an active market environment is subject to, without limitation, system modifications, data variability, technical limitations, process failures, human intervention, human error, and sudden external market conditions to which systems may not respond adequately.

Information relating to the Ciphex Services should not be relied upon as the basis for any strategic decision or participation. Where reasonably practicable and deemed appropriate by Ciphex, notice of material changes, service discontinuations, feature removals, pricing modifications, or operational updates may be provided through the Ciphex website, applicable product or service pages, user dashboards, electronic or other official communication channels. However, except as required by applicable law, a written agreement, or the terms governing a particular product or service, Ciphex assumes no obligation to provide advance notice of such changes. Neither Ciphex nor its affiliates shall have any obligation to update, revise, correct, supplement, maintain, or continue providing any product, service, disclosure, publication, website content, feature, functionality, or Ecosystem activity except as required by applicable law or an applicable written agreement. 1.6 User Responsibility

Access to and use of, or participation in, Ciphex products, services, contributions, or Ecosystem activities is entirely self-directed and undertaken at the user's sole risk. Such access or participation does not create, and shall not be construed as creating, any client, customer, brokerage, advisory, fiduciary, custodial, agency, investment management, or similar relationship under applicable law. Users acknowledge and accept that participation in digital asset and related market activities involves substantial risks, including the potential for partial or total loss of capital, digital assets, CPX Tokens, tokenized assets, or other value associated with any Ciphex product, service, Digital Financing, or Ecosystem activity.

1.7 Substantial Risk

Digital assets and related market activities involve substantial risks, including, without limitation, price volatility, limited liquidity, technological failures, operational disruptions, cybersecurity incidents, market disruptions, and evolving legal and regulatory requirements. 1.8 Proprietary Properties

Ciphex provides non-proprietary and non-confidential information relating to its Proprietary Properties that it considers appropriate, in its sole discretion, to facilitate informed, independent due diligence. Such public disclosures are developed following regulatory disclosure objectives described in Section 4.7, intended to provide balanced, factual, and non-promotional information regarding Ciphex and its products, services, governance, operating policies and procedures, and related Ecosystem activities, while protecting Proprietary Properties, confidential information, trade secrets, and commercial interests.

1.9 Limited Safeguards and Protection

Participation in digital asset markets, including the buying, holding, transferring, staking, lending, borrowing, and swapping of cryptocurrencies, tokens, and other digital assets, involves substantial risk, including the partial or total loss of any invested capital. Participants may not benefit from the legal protections, safeguards, rights, remedies, or regulatory oversight applicable to securities, investment instruments, banking and financial services, or other regulated financial products.
